Terms of Service

These terms cover what PreBalance is, what you are buying when you pay for it, what we promise in return, and what happens if either of us stops. PreBalance ("PreBalance," "we," "us," or "our") is operated by PreBalance LLC, a Texas limited liability company. How we handle your information is covered separately by the Privacy Policy, which forms part of these terms.

By creating an account or using PreBalance (the "Service"), you agree to these terms. If you do not agree, please don't use the Service.


1. What PreBalance is, and what it is not

PreBalance projects your account balances forward from the balances you enter and the recurring income and bills you list. It is a planning tool, and everything it shows you is an estimate built from what you told it.

Where PreBalance can connect to a financial institution to read balances, it does so through a third-party provider and only when you set it up. That data arrives as the institution supplies it, and we do not warrant that it is complete or current.

2. Who may use PreBalance

You must be at least 16 years old to use the Service. If you are using it on behalf of a business or another person, you confirm you are authorized to accept these terms for them.

The free tier can be used anonymously — no email, no name. A paid plan requires an email address, because our payment processor needs one to bill you and to send you a receipt.

3. Your account, your password, and the one thing nobody can undo

Your financial data is end-to-end encrypted: it is encrypted on your device with a key protected by your password, and our servers hold only ciphertext we cannot read. That is a deliberate design, and it has one consequence you must understand before you rely on the Service.

You are responsible for keeping your password and recovery codes secure, and for everything done through your account by anyone you let use it. Tell us promptly at admin@prebalance.app if you believe someone else has access to your account.

4. Plans

PreBalance has a free tier and a Premium tier. The free tier is not a trial: it has no time limit, and it stays available whether or not you ever pay us. What Premium adds is listed on the pricing section of our website.

Premium can be bought in two ways:

We may also give Premium away — to friends and family, to people who help us, or as part of a promotion. Complimentary access is a gift rather than a purchase: it is not transferable, carries no refund value, and we may end it if it is being abused.

5. Prices, billing and taxes

Paddle.com Market Ltd is the merchant of record for every purchase. That means Paddle is the seller for the transaction, takes the payment, handles sales tax, VAT and GST, and issues receipts. Paddle's own buyer terms apply alongside these terms.

Prices are shown in your local currency where we can, and the price you pay includes any sales tax, VAT or GST that applies where you are. The price confirmed at checkout is the price that governs the purchase.

An annual subscription renews automatically on its anniversary at the then-current price for your plan, unless you cancel first. You can cancel at any time, from the account menu in the app or through the link on your receipt; cancelling stops the next renewal and leaves your Premium access running to the end of the period you have already paid for.

If a renewal payment fails we will retry it and tell you, and your Premium features stay on during a short grace period. If it is still unpaid at the end of that period, the account moves to the free tier. Nothing is deleted when that happens — your data stays, and paying again restores Premium access to it.

6. The founding price lock

If you subscribe during our founding window, the price you paid is locked for as long as you stay continuously subscribed, even after we raise prices for new customers. Three things define its edges:

7. What "lifetime" means

A lifetime purchase gives you Premium for as long as PreBalance operates. There is no renewal date and nothing further to pay. It covers Premium as the tier grows: improvements and new Premium features arrive for lifetime holders on the same day as for everyone else.

Two things we want you to understand before you buy, because a promise is only worth what it is measured against:

8. Refunds

You have 14 days from your purchase to change your mind, for any reason or none. Ask us and we will refund you in full. This applies to annual subscriptions and lifetime purchases alike.

After 14 days we do not give refunds for a change of mind, including part-way through an annual subscription — if you cancel, you keep Premium until the end of the period you have paid for. We think that is a fair position specifically because our free tier is a real, unlimited product: you can use PreBalance for as long as you like before deciding to pay.

Two things this does not take away:

Section 15 adds a refund these 14 days do not cover: what you get back if we shut PreBalance down.

9. Gift codes

A gift code can be bought for someone else and redeemed onto their account.

An unredeemed gift code can be refunded for six months from the date it was bought, less a handling charge of 10% plus US$1 (or the equivalent in the currency you paid in), which covers payment processing we cannot recover. After six months we can often still help, but we no longer promise it: our payment processor's refund window is not open indefinitely, and past it a refund has to be arranged manually.

Once a code has been redeemed it cannot be refunded, because the person you gave it to now has the time you bought them. Codes do not expire.

10. Your PreBalance licence is personal

We grant you a personal, non-exclusive, non-transferable, revocable licence to use PreBalance for your own purposes, on any number of your own devices, for as long as these terms are in force.

You may not sell, rent, lease, sublicense, transfer or share your account or your licence, and we may suspend or terminate an account we reasonably believe has been sold or transferred.

This is worth knowing for a practical reason as well as a legal one: because of how PreBalance encrypts your data, the person who created an account can decrypt everything that account ever syncs, permanently. Buying someone else's PreBalance account means buying an account its previous owner can still read. Don't.

Use PreBalance for its purpose and don't make it worse for anyone else. Specifically, you agree not to:

Security research is welcome. Testing the Service's security against your own account, without degrading it for anyone else and without accessing anyone else's data, is not a breach of this section. Report what you find to admin@prebalance.app and give us a reasonable chance to fix it before publishing.

12. Fair use of storage and traffic

PreBalance is priced as an unmetered product, which works because ordinary use is small. We apply a per-account storage ceiling and reasonable rate limits to keep it that way. They sit far above what personal use reaches; if your account approaches one, we will tell you in the app rather than fail quietly, and we will talk to you before taking any action.

13. Your data, our software

Your data is yours. You keep every right you have in the information you put into PreBalance. We claim no ownership of it, and we do not sell it or use it to train anything. You can export it at any time, in a format that does not depend on us.

To run the Service we need your permission to store, transmit and process your data — almost always as ciphertext we cannot read — for the purpose of providing PreBalance to you and for nothing else. The Privacy Policy sets out the detail.

Our software is ours. PreBalance, its name, its logo, its interface and the code behind it belong to PreBalance LLC and are protected by intellectual property law. These terms give you a licence to use the Service, not any ownership of it.

Feedback. If you send us an idea, a bug report or a suggestion, we may use it to improve PreBalance without owing you anything for it. You are not giving up any other right you hold, and we will not identify you as its source without asking.

14. Changes to the Service, inactivity and deletion

We will keep changing PreBalance. Features get added, improved and occasionally retired. Where a change materially reduces what a paid plan includes, we will tell you before it takes effect, and your remedy is the refund in Section 8 if you are still inside 14 days, or cancellation of a renewal if you are not.

Features labelled beta or experimental are exactly that: they may change or disappear, and they are excluded from the availability expectations in Section 16.

You can delete your account at any time from Settings. We hold it for 30 days — during which signing in and pressing Restore brings everything back — and then delete it permanently. Deleting your account does not touch the copies on your own devices.

Inactive accounts are deleted. Free and non-paying accounts are scheduled for deletion after 12 months of inactivity and deleted 30 days later, with email warnings where we have an address for you; simply opening PreBalance and signing in cancels it. Trial data with no account is deleted after 60 days of inactivity. Paid accounts are retained while the subscription is active and for at least a year afterwards. The Privacy Policy states the full schedule, including what little we keep afterwards and why.

We may suspend or close an account that breaches these terms, that is being used unlawfully, or where we are legally required to. Where the breach can be fixed we will say what is wrong and give you a reasonable chance to fix it first, unless the situation makes that unsafe or unlawful. If we close a paid account for a reason that is not your breach, we refund the unused part of what you have paid.

15. If we discontinue PreBalance

We hope this section never applies. If it does, here is exactly what you can expect.

90 days' notice. We will tell you at least 90 days before the Service stops, by email where we have your address and in the app in every case.

Billing stops the day we announce it. From the announcement we take no further renewals and sell no further subscriptions, lifetime purchases or gift codes.

Sync and export keep working for the whole 90 days. Your data is on your device already, and the export produces a file you keep — neither depends on us still being here afterwards.

Lifetime purchases are refunded on a three-year straight line. If we announce a discontinuation within three years of your lifetime purchase, we refund:

your price paid × (36 − whole months since purchase) ÷ 36

So a lifetime purchase discontinued 12 whole months after it was bought is refunded two-thirds of the price paid. After 36 months nothing is refunded, because by then the purchase has delivered three years of PreBalance.

The other plans are settled at the same time. An annual subscription is refunded for the unused remainder of the period you have paid for, pro rata by day. An unredeemed gift code is refunded in full with no handling charge, because in this case it is us ending it and not you. A redeemed multi-year gift is refunded for its remaining term to the person who bought it.

What triggers this section. It applies when we discontinue the Service. It does not apply to ordinary product changes: retiring an individual feature, changing what the tiers contain, or launching a new separate tier are not discontinuations.

Refunds under this section are paid to your original payment method where our payment processor can still reach it, and directly to you where it cannot.

16. Availability

We work to keep PreBalance available and we watch it, but we do not promise uninterrupted service, and we offer no uptime guarantee or service credits. Maintenance, third-party outages and faults happen. PreBalance is built to be useful offline — your data is on your device and the app keeps working without us — which is the practical protection we can actually offer.

17. Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available", and we disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that its projections, alerts or calculations will be accurate or suitable for your circumstances.

Some jurisdictions do not allow these exclusions. Where that is so, this section applies only as far as the law permits, and your mandatory consumer rights are unaffected.

18. Limitation of liability

To the fullest extent the law allows:

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited. If you are a consumer, your mandatory statutory rights are unaffected, and nothing here is intended to exclude them.

19. Your responsibility to us

If your use of PreBalance breaches these terms or the law and that causes a third-party claim against us, you agree to cover the reasonable costs we incur as a result. This does not apply to claims arising from our own acts or omissions, and we will tell you promptly about any claim we intend to rely on this for.

20. Third parties we rely on

Running PreBalance takes a small number of outside services: a payment processor (Paddle), hosting and database providers, an email provider for the messages we send you, and — only if you set it up — a provider that connects to your financial institution. Their handling of your information is described in the Privacy Policy. Their own terms govern their services, and we are not responsible for their acts beyond our own choice to use them.

Where PreBalance links to a third-party site or service, we do not control it and do not endorse it.

21. Changes to these terms

We may update these terms. If a change materially reduces what you get or what we promise, we will give notice in the app before it takes effect, and the version in force when you bought is the one that governs that purchase. Otherwise the current version applies from the date it is published, and continuing to use the Service means you accept it. We keep the effective date at the top current.

22. If we disagree

Talk to us first. Most problems are a misunderstanding or a bug, and we would much rather fix one than argue about it. Email admin@prebalance.app with what happened and what you would like done, and we will work with you in good faith for 30 days before either of us starts formal proceedings.

If that does not resolve it, these terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Texas have jurisdiction — except where you are a consumer and the law where you live gives you the right to bring proceedings locally or to rely on your own country's consumer law, which we do not attempt to take away.
